Veetickets Organiser Agreement

Virtual Solutions Limited (“we”, “us”, “our” ) is the owner of www.veetickets.com a website for promoting public and private events (“Event”, “Events”) for individuals(“Individuals”) and event organisers(“Event Organisers”). Tickets (“Tickets”) and Invites (“Invites”) for Events are sold by event organisers who register on the website to host their events.

BY CREATING AN ACCOUNT, YOU REPRESENT THAT THIS AGREEMENT HAS BEEN READ AND HEREBY INCORPORATED BY REFERENCE, AND EXPRESSLY AGREE TO, AND CONSENT TO BE BOUND BY, ALL OF THE TERMS AND CONDITIONS CONTAINED THEREIN. THIS AGREEMENT SHALL HAVE THE SAME LEGAL EFFECT AND FORCE AS A WRITTEN AND SIGNED DOCUMENT. IF YOU DO NOT AGREE TO ALL OF THE TERMS AND CONDITIONS, YOU WILL BE UNABLE TO PROCEED TO CREATE AN ACCOUNT TO ACCESS WWW.VEETICKETS.COM EVENT MANAGEMENT SERVICES. WE RESERVE THE RIGHT TO DECLINE YOUR REQUEST FOR SERVICES FOR ANY REASON AND WITHOUT NOTICE.

Virtual Solutions has the right to modify this Agreement at its discretion, and the terms will become effective immediately upon publication to this website.

1.SATISFACTION POLICIES

1.1.We provide the ticketing software used to process ticket sales and admissions for the events and other related services listed on our corporate website or the Event Promoters Website for physical and virtual events.

1.2.We are not responsible for the safety, production, experience or cancellation of events listed on our system or the Event Promoters website. If a customer is unsatisfied with the experience with an event listed on the Virtual Solutions system, they must speak to a valid representative of the event via a channel to be provided by the Event Organizer.

2.STATUS AS CONTENT PROVIDER

2.1.Virtual Solutions is not responsible for any content posted or displayed on any page within the Event Promoters website by registered Users, Event Promoters, Customers or You.

2.2.Such information does not represent the viewpoints or opinions of our company. Virtual Solutions cannot be held responsible for any agreements, contracts, unfulfilled promises or any communication made between the Event Organizer and a third party.

2.3.Virtual Solutions is not responsible for any illegal or unlawful material — including defamatory or copyrighted material — posted to an event page by a User, Business Clients, Customer or Purchaser on our system.

3.ACCURACY OF INFORMATION

3.1.Users of any of Virtual Solutions services certify that any information provided to us is complete and accurate. 

3.2.Virtual Solutions uses a third-party fintech solution to validate the billing information you provide to us; however, if we are unable to do so, we reserve the right to cancel your tickets or prohibit you from using this website.

4.REPRESENTATIONS AND WARRANTIES

4.1.As a User who is promoting an Event on your website, you represent and warrant the following:

4.1.1.You are a producer, promoter, presenter, operator or manager of the Event.

4.1.2.You have the authority and right to offer, sell, and honour the tickets to the Event sold on your website.

4.1.3.the Event Service; itself and any material or content provided by You to Us for use on your website is/are not (and does not contain, promote, or link to material or content that is) pornographic, defamatory, grossly offensive, harassing, malicious, illegal, or otherwise objectionable, and do not infringe or violate (or contain, promote or link to material or content that infringes or violates) the rights of any person or entity, including, but not limited to, copyright, trademark, trade secret, proprietary, intellectual property, and rights of privacy and/or publicity, whether by statute or common law; and

4.1.4.the Event Service and the sale of tickets to the Event Service does not constitute a violation of any federal, provincial, and/or local law

5.MISREPRESENTATION OF EVENT

5.1.The Event must be accurately and truthfully described when You submit the Event listing to Virtual Solutions to be posted on the Site.

5.2.If We discover and determine, in Our sole discretion, that You misrepresented the Event, we will cancel ticket sales.

5.3.If We determine that You repeatedly engage in the conduct described in this paragraph, your account will be terminated and any other Events submitted by You will be cancelled pursuant to this Agreement and Virtual Solutions reserves the right to take other actions or pursue additional remedies as permitted by law.

6.ALTERATION OF EVENT LISTINGS

6.1.Virtual Solutions reserves the right to expunge any Event from the Virtual Solutions website at any time, under any circumstances, and for any reason.

7.REFUND POLICIES

7.1.Users who are promoting the event (“Event Promoters”) are responsible for communicating Your refund policy to Your Customers.

7.2.Virtual Solutions will offer refunds after a ticket has been purchased less the cost of financial transactions to the customer.

7.3.The Event Promoter is responsible for communicating the refund availability and duration. Virtual Solutions will not have any liability whatsoever to Users with respect to the cancelled tickets, events, transportation services, funds or failure to issue refunds. Notwithstanding any other term, Virtual Solutions will not be considered an Agent of any User or Event Promoter.

7.4.Any disputes between Users and Event Promoters must be resolved directly between those Users and Event Promoters. Virtual Solutions will not have any liability or responsibility of any kind arising from any disputes between Users and Event Promoters. Without limiting the foregoing, Virtual Solutions will not have any responsibility or obligation to mediate or adjudicate any such disputes.

8.POSTPONED EVENTS

8.1.If an Event is postponed to a later date, it is the Event Promoters responsibility to update the listing and notify Virtual Solutions. In such a case, the Event Promoter is required to accept outdated tickets for entrance into the Event.

9.PRIVACY POLICIES

9.1.The purchasing customer’s name, contact details and purchase information will be provided to the Promoter of the event to which a customer has purchased tickets.

10.REFUSAL OF SERVICES

10.1.Virtual Solutions reserves the right to bar a customer and any Event Organizer from the use of any or all Virtual Solutions’ services at any time, under any circumstances, and for any reason.

10.2.Violation of any of the guidelines below will always result in such punitive action.

11.ILLEGAL CONTENT

11.1.Posting or linking to any illegal or unlawful content — including defamatory or copyrighted materials — on the Virtual Solutions website will result in the termination of all services that Virtual Solutions provides to the Event Organizer.

12.PROHIBITED CONTENT

12.1.Posting any of the following on the Virtual Solutions website may result in the termination, without compensation, of all services that Virtual Solutions provides:

12.2.Any communication that incites or promotes racism, sexism, homophobia, bigotry or physical harm to others

12.3.Any communication that promotes harassment of others

12.4.Any pornographic or sexually explicit material

12.5.Any communication that solicits personal information for commercial or advertising purposes that is not otherwise approved by Virtual Solutions

12.6.Any communication intended to engage others in commercial activities that is not otherwise approved by Virtual Solutions

13.TICKET PURCHASING FEES

13.1.Event Promoters will receive the proceeds of ticket sales directly to either their bank account or a mobile financial service Account to be provided to Virtual Solutions.

13.2.The following fees and charges will be automatically deducted or added to each customer's ticket and/or order depending on the preference of event organizer during the setup of the event:

13.2.1.Service Fees

13.2.1.1.Standard Service 5%

13.2.1.2.Gold Service 7.5%

13.2.1.3.Platinum 10%

13.2.2.Transaction handling fees for transactions in Ghana Cedis– 2.5%

13.2.3.Transaction handling fees for transactions in Any Foreign Currency – 4%

13.2.4.Financial transaction handling charges are however subject to change and is not controlled by Virtual Solutions.

13.3.By purchasing tickets from Virtual Solutions, a customer is deemed to have agreed to pay these fees and understand that the fees will not be refunded under any circumstances.

13.4.We will charge Users and/or Event Promoters for all applicable Fees as stated in this Agreement.

13.5.Service fees may change periodically (thus, you should check this link periodically to familiarize Yourself with our current fee schedule). All Fees and any other monies contemplated by this Agreement are payable in Ghana Cedis, or in any foreign currency accepted by Virtual Solutions for Events in Ghana or another country or jurisdiction, as shown on our Site.

14.ACCEPTABLE METHODS OF PAYMENT

14.1.Virtual Solutions accepts payment for tickets via Mobile Money, debit cards or credit cards on the website.

15.WITHHOLDING TAXES

15.1.You are responsible for (and will indemnify and hold harmless Virtual Solutions against) all taxes or other governmental charges associated with Your Event Service or Your sale of tickets through the Service. It is Your responsibility to know if any applicable laws apply to You and to adjust the ticket price accordingly to account for Your payment of these taxes.

15.2.If Virtual Solutions determines that it is required to collect or pay any such taxes or other charges, it may deduct such amounts from any balance payable to You under this Agreement or else invoice You for such taxes or other charges. Virtual Solutions reserves the right to withhold the payment of any amounts owed to You hereunder if Virtual Solutions suspects or determines that such amounts have been generated in

i.a fraudulent manner,

ii.violation of this Agreement, or

iii.violation of any applicable laws or regulations (foreign or domestic). Such withholding may be temporary or permanent (as determined by Virtual Solutions).

16.TICKET PURCHASING LIMITS

16.1.To discourage unfair ticket purchase practices, Event Promoters may set maximum limits for the number of tickets purchased per person.

16.2.Virtual Solutions is not responsible for these limits, nor are we able to circumvent them in any way.

16.3.Any attempted or actual circumvention of these limits by another User or Customer will result in the termination of any further use of any Virtual Solutions services and the nullification of any tickets purchased.

16.4.Virtual Solutions is not responsible for any loss or damages arising out of any attempted or actual circumvention of these limits.

17.UNLAWFUL TICKET RESELLING

17.1.Virtual Solutions in no way condones the unlawful resale of tickets.

17.2.Any unlawful attempt to resell tickets purchased through Virtual Solutions may result in Virtual Solutions terminating those tickets without compensation, as well as the User or Customer being barred indefinitely from use of any Virtual Solutions services.

18.EVENT RESTRICTIONS

18.1.When submitting Your Event to Virtual Solutions to be listed on Our Service, it is Your responsibility to provide to us any event restrictions associated with said Event.

18.2.Any Event that requires a restriction for admission, including, but not limited to, age, school or organizational affiliation, or other characteristics or requirements, must be clearly stated by the Event Organizer upon submission to Virtual Solutions.

18.3.It is the Event Organizer ’s responsibility to ensure that said restriction is lawful and does not violate any local laws, or any applicable foreign laws, prior to submitting the Event.

18.4.It is also the responsibility of the Event Organizer to verify that all customers can be admitted to the event.

19.ACCESS

19.1.Customers and the Event Organizer must understand and agree that the site may, at times, be inaccessible or inoperable for any reason, including, but not limited to:

(i)equipment or communications malfunctions.

(ii)periodic maintenance, repairs, or administrative reviews which may be undertaken from time-to-time; or

(iii)causes beyond reasonable control or which are not reasonably foreseeable by Us, such acts of government or the malicious or criminal acts of third parties.

19.2.Virtual Solutions will not be responsible for any losses or damages arising from any such inaccessibility or inoperability.

20.TECHNICAL SUPPORT

20.1.Virtual Solutions will provide technical and other customer support to the Event Organizer by which the Event Organizer can obtain technical assistance in dealing with any difficulties which may arise in connection with Your use of Our Site.

20.2.The Event Organizer can access support at client@veetickets.com or service@virtualsolutionsgh.net. Virtual solutions will attempt to provide such support in a timely manner but make no guarantees that all inquiries will be responded to by a particular time.

21.NON-SOLICITATION

21.1.The Event Organizer agrees that they shall not solicit or contact for the purpose of soliciting, or assist anyone else in soliciting or contacting for the purpose of soliciting, via e-mail or through other means, any of the platform users (including any Business Clients, other Event Organizers or other Users,) you interact with through the Site or the Services in order to purchase, buy, acquire, or obtain any other product, service, or other solicitation, or for the purpose of terminating, altering, or in any way modifying Our Users' relationship with Us.

22.PROMOTION OF EVENT

22.1.The Event Organizer shall use reasonable efforts to create, produce, and distribute marketing and promotional materials, and/or otherwise create marketing and promotional campaigns, which state that tickets to the Event shall be available for sale at on the event promoter’s website.

23.TERMINATION

23.1.You may stop participating as an Organizer at any time by deleting your account in accordance with the Terms of Service. If you delete your account, you are still bound by this Agreement and any other Virtual Solutions policy that applies to you, as well as any other written agreement you may have with us

24.REFERENCES

24.1.The Event Organizer grant Virtual Solutions a limited, worldwide, royalty-free license to reproduce and use its company or organization name, logos and trademarks (and to authorize our service providers and media outlets to do so) in advertising or promotional materials, in any and all media (including print and Internet), whether now or hereafter existing, for the purpose of referring to you as a Virtual Solutions’ platform User, Business Client and/or Customer describing our services for you.

25.VIOLATION OF TERMS

25.1.If the Event Organizer violates any of the terms herein, Virtual Solutions reserves the right to terminate its account, bar from using any Virtual Solutions services, cancel any ticket orders and take appropriate legal action.

26.EXTERNAL LINKS

26.1.Virtual Solutions is not responsible for any content or services provided by any websites outside of the Virtual Solutions website. This includes any content posted on the event organizer’s website or on any sites linked from the event pages.

27.ASSUMPTION OF RISK, WAIVER, RELEASE, COVENANT NOT TO SUE AND INDEMNIFICATION AGREEMENT 

27.1.The Event Organizer hereby acknowledges and agrees that they are aware that promoting Events, purchasing and/or selling tickets at www.veetickets.com and the event promoter’s website has inherent risks, including without limitation risks of personal or bodily injury, death and property damage arising from the negligent or intentional acts or omissions of other Users or other parties. Such acts or omissions may include, without limitation, negligent design, criminal or intentional misconduct of other Users of the Service; and other acts or omissions that may not even be presently foreseeable.

IN CONSIDERATION OF VIRTUAL SOLUTIONS, AS APPLICABLE, PERMITTING YOU TO USE THE SERVICE, YOU HEREBY FREELY AND VOLUNTARILY ACCEPT AND FULLY ASSUME ALL SUCH RISKS, AND THE POSSIBILITY OF PERSONAL INJURY, DEATH, PROPERTY DAMAGE OR LOSS RESULTING THEREFROM. YOU FURTHER: A.RELEASE ANY AND ALL CLAIMS, DEMANDS, ACTIONS, SUITS, AND PROCEEDINGS (WHETHER CIVIL, CRIMINAL, OR ADMINISTRATIVE) AND ALL LIABILITIES, LOSSES, EXPENSES (INCLUDING REASONABLE LEGAL FEES), COSTS, OR DAMAGES THAT YOU HAVE OR MAY HAVE IN THE FUTURE AGAINST VIRTUAL SOLUTIONS, LOCAL BUSINESS CLIENTS AND/OR THEIR RESPECTIVE OFFICERS, TRUSTEES, DIRECTORS, EMPLOYEES, AGENTS, VOLUNTEERS, REPRESENTATIVES AND/OR CONTRACTORS (ALL OF WHOM ARE HEREINAFTER COLLECTIVELY REFERRED TO AS THE "RELEASEES"), WAIVE ALL SUCH CLAIMS AND AGREE NOT TO BRING ANY ACTION OR SUE ANY OR ALL OF THE RELEASEES FOR SUCH CLAIMS, DEMANDS, ACTIONS, SUITS, AND PROCEEDINGS (WHETHER CIVIL, CRIMINAL, OR ADMINISTRATIVE) AND ALL LIABILITIES, LOSSES, EXPENSES (INCLUDING REASONABLE LEGAL FEES), COSTS, OR DAMAGES ARISING DIRECTLY OR INDIRECTLY OUT OF YOUR REGISTRATION FOR THE SERVICE, PURCHASE OF TICKETS, INCLUDING BUT NOT LIMITED TO CLAIMS, DEMANDS, ACTIONS, SUITS, AND PROCEEDINGS (WHETHER CIVIL, CRIMINAL, OR ADMINISTRATIVE) AND ALL LIABILITIES, LOSSES, EXPENSES (INCLUDING REASONABLE LEGAL FEES), COSTS, OR DAMAGES ARISING OUT OF THE ACTUAL OR ALLEGED NEGLIGENT ACTS OR OMISSIONS OF ANY OR ALL OF THE RELEASEES;

B.AGREE TO HOLD HARMLESS AND INDEMNIFY THE RELEASEES FROM AND AGAINST ANY AND ALL LIABILITY FOR ANY DAMAGE TO THE PROPERTY OF, OR PERSONAL OR BODILY INJURY OR DEATH TO, ANY PARTY, RESULTING FROM YOUR REGISTRATION FOR AND/OR USE OF VIRTUAL SOLUTIONS; AND

C.AGREE THAT IF YOU ARE DISSATISFIED WITH THE SERVICE OR THE MATERIALS AVAILABLE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING VIRTUAL SOLUTIONS. The Event Organizer understands and agrees that this Agreement is to be as broad and inclusive as is permitted by the laws of the Republic of Ghana, and that if any portion of this Agreement is held invalid, the remaining terms shall continue in full force and effect. This Agreement shall be binding upon the Event Organizer, as well as its successors, executors, personal representatives, heirs and assigns. BY CHECKING THIS THE EVENT ORGANISER HEREBY ACKNOWLEDGES AND REPRESENT THAT THEY HAVE READ, UNDERSTAND AND FULLY AGREE TO THE TERMS OF THIS AGREEMENT, AND THAT THEY VOLUNTARILY WISH TO USE THE SERVICE SUBJECT TO THE TERMS AND CONDITIONS STATED HEREIN.
